Karen Saez

President

Karen Saez serves as the President of First American Property and Casualty Insurance Agency, Inc.

Karen started her career with First American with the Title Insurance company where she has served in various underwriting and management positions. Her broad experience includes transactional underwriting and claims handling. While serving as the Managing Director of the Western Region of First American Title's National Commercial Services division, she was asked to lead the effort in launching what is now Transactional Risk Solutions, a division of FAPCIA. Karen is a member of the inaugural class of First American's Women in Leadership where she previously served on the Advisory Board. She is also a past faculty member of First American Title's Excellence in Underwriting program.

Karen received a bachelor's degree from the University of California, San Diego, and her Juris Doctor from Thomas Jefferson School of Law and is a member of the California State Bar.

Randall Scott

VP, Sales & Counsel

Randall L. Scott is Vice President and Counsel for Transactional Risk Solutions, powered by First American Property & Casualty Insurance Agency, Inc.

Randall has extensive real estate title insurance and UCC (Uniform Commercial Code — Article 9) expertise. In addition to his sales, legal and management responsibilities, Randall provides seminars and presentations on topical commercial finance and real estate issues, including Article 9 of the UCC, mezzanine financing and various title insurance and underwriting matters.

Since joining First American in January 1999, Randall has held a variety of legal and management positions within the company. Prior to his appointment as Managing Director of Sales in August 2011, Randall served as the Managing Director of the Eastern Region of First American Title’s National Commercial Services division.

From 1980 through 1998, Randall was engaged in the general practice of law in Maryland, with an emphasis in the areas of business, commercial and real estate law.

Randall is a graduate of the University of Baltimore School of Law (J.D. 1980), where he was a member of the Law Review and the Moot Court Board. He is also a graduate of the University of Maryland (B.S. 1977), with a major in business administration.

Matt Somma

Vice President

Matt Somma is Vice President of Transaction Risk Solutions, powered by First American Property & Casualty Insurance Agency, Inc.

As a practicing attorney, Matt served as Counsel at Hunton Andrews Kurth LLP, where he specialized in merger and acquisitions (M&A) and project finance transactions. Matt was also in-house M&A counsel at Nielsen Holdings plc (NYSE: NLSN). Matt began his legal career at Paul Hastings LLP.

Matt was VP of Transaction Risk at Newfront, a P&C brokerage, where he served as a transaction risk broker and advised technology strategics and private equity funds on Rep and Warranty, Tax, and Contingent Liability insurance. Risk and Insurance Magazine named Matt a Power Broker in 2022.

As a transaction risk underwriter, Matt was Senior Executive Underwriter of Rep and Warranty insurance at The Hartford (NYSE: HIG), as well as SVP of Underwriting at BlueChip Underwriting Services, a privately held managing general underwriter.

Matt obtained his Juris Doctor, cum laude, from St. John’s University School of Law in New York and a Bachelor of Science in Industrial and Labor Relations from Cornell University. At Cornell, Matt was a two-time All-Ivy League Rugby selection. He is based in New York.

Cindy Carter

VP, Operations

Cindy Carter is the Vice President of Operations for Transactional Risk Solutions, powered by First American Property and Casualty Insurance Agency, Inc.

Cindy’s been with First American since 2018 as an operational and underwriting leader in other First American divisions. Her 20-year insurance career has ranged from working in brokerages — helping high net worth individuals and commercial lines clients — to working for regional and national insurance companies on the carrier side where her leadership responsibilities ranged from operations to underwriting.

Cindy's a licensed property and casualty producer as well as surplus lines insurance in 48 states.

Kalena Clemena

Compliance & Licensing Specialist

Kalena Clemena is the Compliance Specialist for Transactional Risk Solutions, powered by First American Property and Casualty Insurance Agency, Inc.

Kalena has been with First American for 13 years and worked in the insurance industry for 15 years. She's supported other divisions, such as First American Property and Casualty Insurance Company, First American Specialty Insurance Company and First American Property and Casualty Insurance Agency as a Lead in Operations. Kalena has also been responsible for Compliance, Regulatory Filings and Licensing for the past five years.
